Code of Ethics

Companies and organizations of all types of ownership as well as individuals who are both residents and non-residents of Ukraine, on becoming of members of KAIZEN Club in Ukraine (hereinafter as the "Club" and the "Club Members") to implement the statutory goals and objectives of the Club agree to follow in the activity main principles of professional ethics stated in this Code of Ethics.


1. Values.


1.1. The mission of members of KAIZEN Club in Ukraine is to work and carry out business activity in accordance with legislation in force both in and out Ukraine as well as expand KAIZEN philosophy both inside companies and across Ukraine.
1.2. Club members acknowledge the need to respect ethical principles and norms of morality in the process of their activity both within and outside the Club.
1.3. Coordination of mutual efforts of the Club members should focus on the promotion and implementation of KAIZEN philosophy both across Ukraine and abroad.
1.4. Club members seek to improve professional knowledge, skills and competencies in their activities as well as develop information and experience exchange between Club members.


2. Principles of Business Ethics.


2.1. Club members distribute the information they believe is reliable and source of which is known.
2.2. Club members in their professional activities clearly distinguish the difference between facts and what are their own ideas, versions, estimates or assumptions.
2.3. Club members use only legitimate means of obtaining information.
2.4. Club members do not provide information received in confidence to third parties and do not use the information that can be distributed for the benefits of someone else without previous written permission.
2.5. Club members through the Management of KAIZEN Club in Ukraine will inform each other about facts of illegal distribution of information and violations of professional ethics by Club members and put it to the attention of the Board of Founders of KAIZEN Club in Ukraine.
2.6. Club members strive to create a civilized and transparent mechanism for solving disputes and express readiness to settle all disputable matters that occur in the process of negotiations.


3. Control over compliance with the rules of business ethics.


3.1. An authorized person from the Management of KAIZEN Club in Ukraine will provide control of respecting the principles of business ethics stated in this Code.
3.2. In case of uncovering of violations of professional ethics by Club members the Management will initiate a preliminary consideration of this issue by the Board of Founders.
3.3. The meeting of the Board of Founders will take place not later than one (1) month from the date of uncovering of violation of the Code of Ethics.
3.4. During the meeting of the Board of Founders the following decisions can be made:
3.4.1. Recognition of actions of the Club member as legitimate.
3.4.2. Recognition of actions of the Club member as illegal and sending a notice from the Board of Founders of KAIZEN Club in Ukraine to the member who violated regulations of the Ethical Code.
3.4.3. In case of repeated violation of the rules of professional ethics by the Club member the Board of Founders makes decision to recommend to the General Meeting of KAIZEN Club in Ukraine to exclude the member who violated regulations of the Ethical Code from the Club.
3.5. Decisions to exclude a Club member must be made by qualified majority of ¾ of votes of those who present at the meeting of the Board of Founders of the Club.
3.6. Club reserves the right to disclose information about the systematic violations of the Code of Ethics regulations.
